Bülach, le 7 septembre, 2021 - Vetropack Holding SA a été informée que Cornaz AG-Holding a l'intention de placer 1’983’000 actions nominatives A de Vetropack Holding SA par un processus de book building accéléré. Un engagement concret a déjà été pris pour 800'000 actions nominatives A. Le flottant passera de 53.1% aujourd'hui à vraisemblablement 63.1% du capital.

Le placement des 1’183'000 actions nominatives A de Vetropack Holding SA (respectivement 6.0% du capital et 2.7% des voix) est structuré comme un placement privé auprès d'investisseurs institutionnels en Suisse et au Royaume-Uni. Il est prévu que des actions nominatives A 800'000 additionnelles soient acquises par Jean-Luc Cornaz en tant que personne privée aux mêmes conditions.
Cornaz AG-Holding et Jean-Luc Cornaz se sont ainsi engagés à ne pas vendre d'actions de Vetropack Holding SA au cours des 12 prochains mois (lock-up). Ils restent donc des actionnaires stables et orientés vers le long terme de Vetropack Holding SA.

La souscription de titres commence immédiatement. La fixation du prix et l'attribution des actions devraient être achevées le 8 septembre 2021. Zürcher Kantonalbank est l'unique bookrunner de la transaction et se réserve le droit de fermer les livres à tout moment. Des informations sur le résultat de la transaction seront publiées ici après la clôture. 

Contexte de la transaction: Jean-Luc Cornaz réalise une réallocation de sa prise de position dans Cornaz AG-Holding. Dans ce contexte, Jean-Luc Cornaz se retirera du groupe d'actionnaires et du conseil d'administration de Cornaz AG-Holding. En contrepartie, il devrait acquérir 800'000 actions nominatives A de Vetropack Holding SA en tant que personne privée.

Dans le but de financer l'achat des actions de Cornaz AG-Holding actuellement détenues par Jean-Luc Cornaz et d'optimiser le bilan, Cornaz AG-Holding vendra à son tour un total de 1’983’000 actions nominatives A de Vetropack Holding SA. Suite à la transaction, le capital et les droits de vote devraient changer comme suit, ce qui augmentera encore la liquidité des actions nominatives A:
